All of our sales are subject to the conditions listed below; any exceptions, including partial ones, are valid only if made in writing at the time the purchase agreement is signed and only if accepted by Bertani Spa in writing.
Risk limit: the purchaser has the right to choose to entrust the transport of goods to Bertani Spa, send it by a delivery service or independently retrieve it from our warehouses.
Only if Bertani Spa is directly charged with the transport do we bear responsibility for any damage which may occur to the merchandise, if noted upon delivery up to the value of the damaged merchandise.
Purchase agreement: the order is confirmed only at the time that the buyer signs the purchase agreement.
Upon confirmation, the buyer is requested to pay a confirmation deposit of at least 30% of the order’s value.
In the case of custom-built products, the requested deposit may be up to 50% of the value.
For purchases under 100 euro (VAT excluded), the deposit equals 100% of the value.
Order cancelling: orders that have already been made may not be cancelled once the purchase agreement has been signed for acceptance, unless otherwise negotiated between the parties.
Merchandise complaints: any complaints regarding merchandise that is damaged or not conforming to the order must be made at the time of delivery. Complaints are not accepted after that point.
Complaints regarding hidden merchandise defects must be made within eight days after it was reasonably possible to discover them, and, in any case, no later than six months from delivery.
The reimbursement of damages is always limited to the value of the delivered merchandise.
In the case of complaints, the seller has the right to inspect the contested merchandise or have it inspected and replace it should the seller recognize its defectiveness.
Returned merchandise: Sold and delivered merchandise may be returned only by prior authorization from the seller.
In no case returns of merchandise that has been treated, altered, assembled or used are accepted.
Payment for merchandise: Payment must be made for merchandise at the time of delivery, unless otherwise agreed and noted in the signed purchase agreement.
In the case of failed payment, delivery will not be completed.
If payment is made by bank transfer, the amount must already have been credited at the time of delivery.
Only payments made directly to the seller or its representatives, duly authorized in writing, are recognized as valid.
Payments made to non-authorized parties are not valid for the seller.
Interest for late payment: starting from the payment due date, interest will be applied to the owed amounts at the legal rate granted in Italy plus five percentage points.
Interruption of contract and suspension of supply: with reasonable advance notice, without being responsible for any reimbursement and without affecting its rights, should the buyer be late in payment or the buyer’s solvency is in question, the seller may suspend the filling of orders and cancel any other existing supply contract with the buyer.
Competent Count: The Competent Count for any litigation is exclusively Reggio Emilia, without modification.
Contracts, including those drawn up between foreign buyers and for materials supplied abroad, are governed by Italian law.
